  • 1. Introduction Welcome to NEPRA Compliance as a Service (NCaaS) portal, a comprehensive solution provided by Software Productivity Strategists (SPS) Inc., designed to assist power sector licensees in Pakistan in achieving NEPRA compliance. By signing up for NCaaS, Customer agree to abide by these Terms and Conditions. Please read them carefully before proceeding.
  • 2. Definitions
    • "Portal" refers to the NCaaS online platform.
    • "Service" refers to the compliance assessment, reporting, and associated features provided via the Portal and listed at serial 3 of this very document.
    • "Customer" refers to the individual or entity signing up for the Service.
  • 3. Service Offerings NCaaS provides services in the following areas:
    • i. Security Policy Management for IT and OT Assets as a Service
    • ii. Security Controls Implementation and Improvement as a Service
    • iii. Security Risk Vulnerability Assessment as a Service
    • iv. Data Management as a Service
    • v. Audit and Risk Assessment as a Service
    • vi. Monitoring and Incident Response as a Service
    • vii. Awareness and Training as a Service
    • viii. Regulatory Reporting as a Service

  • 4. Use of Service
    • The Service is intended solely for Customer engaging in compliance-related activities as defined under NEPRA guidelines.
    • The Customer agrees not to misuse the Portal for any illegal, unauthorized, or unethical purposes.
    • SPS reserves the right to monitor and audit Portal usage for compliance and security purposes.
  • 5. Account Creation and Maintenance
    • The Customer must provide accurate, complete, and up-to-date information during the signup process.
    • The Customer is responsible for maintaining the confidentiality of the account credentials and for any activity under the account.
    • SPS reserves the right to suspend or terminate accounts that provide false information or breach these terms.
  • 6. Plans and Pricing
    • NCaaS is available under three subscription plans:
      • Basic Plan: Entry-level services for essential compliance needs, for pricing click here.
      • Standard Plan: Enhanced features and additional support, for pricing click here.
      • Premium Plan: Comprehensive coverage with full-featured compliance services, click here.
    • The customer is required to select a plan at the time of signup. Pricing details for each plan are available on the NCaaS website or will be shared upon request.

  • 7. Payment Terms
    • Subscription fees must be paid in advance, based on the selected plan.
    • All payments are non-refundable unless explicitly stated otherwise.
    • Payment methods include Bank Deposits, Online Transfer through SPS designated bank account. Reach out at PKAccounting@spsnet.com for bank account details.
    • Late payments will be subject to a cost of collection at the rate of 1.5% per month, and non-payment for 2 months or above may lead to suspension or termination of services.
  • 8. Customer Responsibilities
    • Provide accurate and complete information during signup.
    • Provide necessary access and information about IT & OT infrastructure.
    • Timely coordination and communication with teams for swift services delivery.
    • Cooperate with SPS during the service delivery process.
    • Maintain the confidentiality of login credentials and account details.
  • 9. Service Availability
    • While SPS strives to ensure uninterrupted availability of NCaaS, occasional downtime may occur for maintenance or unforeseen circumstances.
    • SPS will notify customers of scheduled maintenance in advance.
  • 10. Data Privacy
    • SPS is committed to protecting customer data. Please refer to our Privacy Policy for details on how your data will be handled.
  • 11. Intellectual Property
    • Reports, tools, and recommendations provided are intended solely for Customer use.
    • All intellectual property rights related to the methodologies and tools utilized in delivering NCaaS services remain exclusively with SPS.
  • 12. Termination of Service
    • Customers may cancel the subscription at any time by providing written notice.
    • SPS reserves the right to suspend or terminate services for non-payment and/or violations of these Terms and Conditions.
  • 13. Disclaimer
    • SPS does not guarantee compliance certification or approval by NEPRA. Our services are designed to assist customers in meeting regulatory requirements; however, ultimate compliance is subject to NEPRA’s discretion.
  • 14. Limitation of Liability
    • SPS shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use NCaaS, including but not limited to loss of data, revenue, or business opportunities.
  • 15. Indemnification
    • The Customer agrees to indemnify and hold harmless SPS and its affiliates from any claims, liabilities, or damages arising from their use of the Portal.
  • 16. Amendments
    • SPS reserves the right to amend these Terms and Conditions at any time. Customers will be notified of significant changes via email or website updates.
  • 17. Governing Law
    • These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under these Terms and Conditions will be resolved through arbitration in Islamabad, Pakistan, per the Arbitration Act, 1940.
  • 18. Force Majeure
    • SPS will not be liable to Customer for any delay or failure to perform its obligations hereunder if such delay or failure arises from any cause or causes beyond reasonable control. Such causes will include, but are not limited to, acts of God, floods, fires, loss of electricity or other utilities, or delays by Customer in providing required resources or support or performing any other requirements hereunder.
